Constitution

Name: The Club shall be called. “The Tenby & District Camera Club”

Aims: To promote community interest and involvement in the art of digital photography.

Objectives:
  • To encourage interest and participation through the development and implementation of a comprehensive events and activities programme.
  • Develop technical and artistic skills through lectures and practical workshops.
  • Promote the Club’s activities to community groups and individuals through exhibitions and publicity.
  • Improve club profile and member’s interest, confidence and learning through participation in local, national and international photographic competitions.
  • Develop partnership working with local groups and organisations with a view to promoting interest in photography.
  • Encourage awareness and appreciation for the rich landscape and wildlife heritage within the County.


Membership:
  • Any person interested in or practicing photography, as an amateur or professional, who agrees to actively support the Club’s objects, may apply to the Hon Secretary/Treasurer for Membership.
  • Infringement of the rules of Tenby & District Camera Club may result in membership being revoked either temporarily or permanently. In the event of membership being revoked permanently then the final decision will be made by the members of the club at a SGM called specifically for that purpose.


Subscriptions:

Entrance fees and subscriptions shall be such amounts as are from time to time determined by the Annual General meeting (AGM) or Special General Meeting (SGM). Subscriptions are due on 1 September annually.

Organization:

The Officers of the Club shall consist of:

  • Chairman
  • Vice Chairman
  • Hon Secretary
  • Hon Treasurer
  • Programme Secretary
  • Internal Competition Secretary
  • External Competition Secretary
  • Equipment Officer Press Officer
  • Web Development Officer
  • and such Assistant Officers as may from time to time be decided or co-opted by the Committee.


Committee members, but not co-opted members, are able to vote in all meetings. The Chairman will have a casting vote.

Officers will be elected each year at the AGM.

The Club will meet weekly on Thursday evenings during the Winter season, September-May, and periodically throughout the summer season.


Management:

  • A Committee consisting of the Officers, and three (3) or up to six (6) other elected members shall manage the affairs of the Club.
  • Five (5) persons shall constitute a quorum for Committee meetings, two of these to be officers of the club. There will be regular meetings of the Committee at least two (2) per Club year.


Annual General Meeting (AGM)

The AGM of the Club shall be held during the month of September / October each year.

The business agenda shall include minutes of the previous AGM, annual report of the Officers, and election of Officers and Committee.

At least twenty-one (21) days notice of an AGM will be be given to all members, and an agenda of all business to be discussed will be provided at least seven days prior to AGM.


Special General Meeting:

A Special General Meeting can be called at any time by the Committee or on receipt of a written requisition signed by not less than one quarter of the membership. No business other than that appearing on the SGM notice shall be transacted.

Rules:

A separate document titled “The Rules of the Tenby & District Camera Club” will be drawn up. A copy of the Rules shall be supplied to every member of the Club. Alterations to such rules can only be made at an AGM or SGM.

Nominations and Propositions:

Nominations and propositions for the AGM or SGM shall not be accepted unless given to the Hon Secretary fourteen days before the date of the meeting, signed by two (2) members of the Club as proposer and seconder for inclusion on the Agenda. The Chairman can decide, under exceptional circumstances to allow verbal nominations to be made and seconded on the night of the AGM.

Emergencies:

In the event of anything occurring, not provided for or not clear in the Rules, the committee shall have the power to deal with the same at their discretion or for referral for clarification to the Welsh Photographic Federation.

Dissolution:

The Club may be dissolved only by the consent of three fourths of the Members present at an SGM called for the purpose of discussing such an outcome. If an SGM agrees to the dissolution of the club, it shall instruct the Hon Treasurer to liquidate the Club’s assets in such a way that may be decided by the meeting after clearing all debts and liabilities.

Venue:

Changes in venue and the rental costs will be by mutual agreement of the Club Committee and the landlord and by approval of the majority of Club Members.
